Hereinafter referred to as the FIRST PARTY / STORY & DAILOGES WRITER on the ONE PART.
And
................, Shri Shailendra Cinemas SSH Pride 101, Road No ..............., Jubileehills, Film Nagar, Hyderabad-96
Hereinafter referred to as the SECOND PARTY /
PRODUCERS on the OTHER PART.
The terms First Party / Anothor and Second Party / Producers shall wherever the context so mean and include their legal heirs, representatives, successor, administratior, executors and assigness of both the parties respectively witnesseth as follows :
WHEREAS the Story written by the First Party form his own imagination and conception is obtained by the Second Party and being made a film in Telugu Colour and in Cinema Scope titled as “ for telugu movie,” starring .............................., ......................., .................. etc. MUSIC Directed by ............................., Story, Screen Play & Direction by ............................................ hereinafter called the said Telugu Picture / Film/ Movie / Cinematograph Film as defined in the Copyright Act, 1957.
WHEREAS the First Party who is the Author of the said Telugu Picture Story had orally granted in favour of the Secon Party to make motion picture of his Story in Telugu Language only in any guage and deminsion for Theatrical / Commercial and Non - Theatrical / Non-Commercial Distribution, Exhibition and Exploitation anywhere in the Andhra Pradesh State.
AND WHEREAS both the parties deem it desirable toreduce into writing the terms and conditions of the Story rights of the said Telugu Picture mutually agreed by them.
NOW THIS AGREEMENT WITNESSETH AS FOLLOWS :
1. The Second party being made the said Telugu Picture form the Story written by the First party and the Second Party agrees that they shall not dub the said Telugu Picture or remake the story of the said Telugu Picuture in any Indian / Foreign Languages. In other words, the Second Party shall not dub the said Telugu Picture either by them or through any body in any indian / Foreign Languages. Further the Second Party also shall not remake / reproduce the said Telugu Picture either by them or through anybody in any India / Foreign Languages. The rights to remake / reproduce the said Telugu Picture in any Indian / Foreign Language/s vest with the First Party Only. The Second party has no objection or claim if the First Party himself remake/reproduce the said Telugu Picture in any Indian / Foreign Languages or sell the remake rights of the said Telugu Picture to any party of his choice ofr reproducing it in any India / Foregin Language/s and the First Party alone shall enjoy the royalty amounts. Until the said Telugu Picture is first released anywhere in Telugu, the First Party shall not release or shall not allow for release of any remake versions of the said Telugu Picture anywhere.
2. That in consideration of Rs. .................../- (Rupees ..................................................................................................................................................................................................... Only) granting the rights of the Story of the said Telugu Picture for producing in Telugu Language only as stated above in Para 1 Supra, the Second Party has already been paid a sum Rs. .................../- (Rupees .....................................................................Only) by way of Cheque which has encashed before 31.7.2010, payble for the Balance Amount Rs................./- (Rupees ........................................................................... Only) the First Party towards the Royalty for producing a film of his story in Telugu Language only in full and final settlement of account. After receiving the said amount form the Second Party, the First Party has signed to this agreement and this itself is an acknowledgement to the Second party.
3. The First party undertake to indemnify the Second party against any claims, infringements of copyrights of the story of the said Telugug Picture by any party in future and in case of such claims make themselves liable for all expenses incurred by the Second Party in the Production of the motion picture of the Story written by the First Party.
4. The First party is entitled to receive any prize or award for the said Telugu Picture Story that may be given by any Government or by any agency and the Second party shall have no claim to any such prize or award.
5. The Second party shall put the name of the First party on the title cards and in all advertisements as Story for the said Telugug Picture is by Sri. Kumar, Swamyji Rao, without Karnataka Language any other Language world rights 60% to the Second Part 40% of the First Part.
6. The First party hereby assures the Second party that the story of the said Telugu Picture is his original work by imagination and is not a copy adaptation, translation of any other Story, Drama, Noverl, Film, TV Serial, TV Film or Literary work of any other language either in part or full.
7. The Second party hereby assures and permits all rights pertaining to the distribution of Telugu Film out of Andhra Pradesh to the party of the First part as sole and liable for all the acts and deeds.
8. For all purposes, the Courts in Hyderabad alone shall have jurisdiction.
